General Terms & Conditions
I. General Provisions
These General Terms and Conditions apply to all current and future business relationships between the contractual partner and us. We hereby expressly object to any deviating, conflicting or supplementary terms and conditions of the contractual partner; such terms shall not become part of the contract, even if we accept an order.
II. Conclusion of Contract
1. Our offers are non-binding. We reserve the right to make technical modifications as well as changes in form, colour and/or weight within reasonable limits.
2. Acceptance of a contractual offer may be declared by us either in writing or by delivering the goods to the contractual partner.
3. Any ancillary agreements and amendments to the contract must be made in writing.
4. The prices stated in the offer or order confirmation are exclusive of statutory value-added tax and apply to the requirements regarding material properties, dimensional inspections and processing conditions known to us at the time the offer is submitted or the order is confirmed, as well as to the quantities specified. Subsequent requests for changes require our express confirmation and entitle us to adjust the price accordingly.
5. The purchaser assumes sole responsibility for documents to be provided by them, such as drawings, gauges, samples or similar items. All information regarding dimensions and similar specifications requires written confirmation.
III. Scope of Deliveries
1. We are entitled to make partial deliveries. If delivery upon call-off has been agreed, the purchaser must request delivery within a period of two months from the date of issue of the order confirmation. After expiry of this period, we are entitled to ship any remaining quantities not yet called off and invoice them to the purchaser.
2. Unless otherwise agreed, we reserve the right to deliver quantities up to 10% below or above the ordered quantity, with corresponding invoicing, without prior separate notification.
3. Samples will only be supplied against payment.
IV. Prices and Payments
1. Unless otherwise agreed, prices are ex works, including loading but excluding packaging, transport, insurance, customs duties and unloading. Statutory VAT will be added to the prices at the applicable rate. Additional costs for packaging, transport, insurance, customs duties, etc. will also be charged for partial deliveries and express shipments.
2. Unless otherwise agreed, payment shall be made without deduction upon dispatch or handover of the goods by bank transfer to one of our accounts.
3. The prices stated in our offer or order confirmation are based on the calculation applicable at the time of the offer or order confirmation. If there is a significant change in raw material prices after conclusion of the contract (at least 10%), we are entitled to increase the agreed price by the corresponding additional cost.
4. Unless otherwise stated in the order confirmation, and provided the purchaser is not in default of payment for previous deliveries, the purchase price shall be paid net (without deductions) within 30 days from the respective invoice date. In the event of outstanding invoices, payments shall always be applied to the oldest due claim. A cash discount may only be deducted if expressly agreed in writing and only if all invoices due up to that date are paid at the same time.
5. If the purchaser defaults on payment, if a significant deterioration in the purchaser’s financial circumstances occurs after conclusion of the contract or becomes known to us, we shall be entitled to demand immediate payment of all outstanding invoices, including those not yet due, and to refuse any further deliveries until the agreed consideration or corresponding security has been provided. Furthermore, we reserve the right, after an unsuccessful expiry of a reasonable grace period, to withdraw from the contract or claim damages for non-performance.
6. In the event of default in payment, we are entitled to charge interest from the date of default at a rate of 10 percentage points above the base interest rate of the European Central Bank (ECB).
7. This shall not affect our statutory claims for default interest becoming due before the occurrence of default.
8. The purchaser shall not be entitled to set off claims against our claims unless such counterclaims are undisputed or have been legally established.
V. Transfer of Risk, Delivery Periods and Delays in Delivery
1. Risk shall transfer to the contractual partner when the delivery item leaves our company, even if partial deliveries are made or if, in individual cases, we have assumed additional services such as shipping costs, delivery or installation. Where acceptance is required, acceptance shall be decisive for the transfer of risk. Acceptance must take place immediately on the acceptance date or, alternatively, within seven days after receipt of the notification of availability or readiness for acceptance. The contractual partner may not refuse acceptance due to a minor defect.
2. Handover shall be deemed equivalent if the contractual partner is in default of acceptance.
3. Delivery dates or periods specified by us shall only be binding if expressly confirmed by us in writing as binding.
4. If dispatch or acceptance of the delivery item is delayed for reasons attributable to the contractual partner, the resulting costs shall be charged to the contractual partner after notification of readiness for dispatch or acceptance.
5. If compliance with the delivery period is prevented by force majeure, industrial disputes or other events beyond our control, the delivery period shall be extended accordingly. We shall inform the contractual partner as soon as possible of the beginning and end of such circumstances.
6. We may withdraw from the contract without setting a deadline if the entire performance becomes permanently impossible before the transfer of risk. If impossibility or inability occurs during the contractual partner’s default of acceptance, or if the contractual partner is solely or predominantly responsible for these circumstances, the contractual partner remains obliged to provide the agreed consideration.

1. Scope of Application and Compliance with Standards
1.1
These General Terms and Conditions apply exclusively to all contracts, deliveries and services performed in accordance with the requirements of **DIN EN 9100** (or an equivalent standard specified by the customer).
Any deviating, conflicting or supplementary terms and conditions of the purchaser shall not apply unless we expressly agree to their validity in writing.
1.2
Unless expressly agreed otherwise in writing, drawings, calculations, specifications, performance descriptions, deadlines, dimensions and weights shall not be binding upon us.
All agreements made by our sales representatives and/or other employees, as well as deviations from these terms, amendments, ancillary agreements and guarantees, shall only become effective upon our written confirmation.

2. Offers, Prices, Payment Terms and Audit Rights
2.1
Offers shall always be subject to change and non-binding. The contract shall only be concluded between the contractual parties upon our written order confirmation, but not before all commercial and technical matters have been agreed upon and any required official or other approvals have been obtained.
2.2
The prices stated in our order confirmation shall apply, plus the applicable statutory VAT.
Prices are ex works and exclude freight and packaging.
2.3
Invoices shall be payable net within 30 days from the invoice date.
In the event of default in payment, we shall be entitled, without prejudice to further claims for damages, to charge default interest at a rate of 5 percentage points above the base interest rate determined pursuant to Section 247 of the German Civil Code (BGB).
Default in payment shall also result in all our claims becoming immediately due for payment, irrespective of previously agreed payment terms.
The same shall apply in the event of a significant deterioration of the purchaser’s financial situation, suspension of payments, over-indebtedness of the purchaser, filing of insolvency proceedings against the purchaser’s assets, or knowledge of protested bills of exchange or cheques.
2.4
The purchaser may only offset claims that are undisputed or legally established by final judgment.
Furthermore, the purchaser shall be entitled to assert a right of retention and the defence of non-performance of contract, provided and insofar as we are responsible for a breach of obligation pursuant to Section 275 BGB.
2.5
We shall be entitled to request reasonable advance payments corresponding to the respective stage of production.
2.6
The purchaser and the competent aviation authorities shall be entitled to conduct audits at our premises in order to verify compliance with DIN EN 9100 and the contractual specifications.
The costs of routine audits shall be borne by the purchaser unless otherwise agreed.

3. Additional Orders and Amendments
3.1
Subsequent changes shall require a separate order and acceptance.
Any additional costs incurred shall be invoiced separately in accordance with the additional order.
3.2
Such additional orders shall result in a reasonable extension of any agreed delivery periods.

4. Intellectual Property and Confidentiality
4.1
Drawings, calculations and all other documents provided by us shall remain our property and subject to our copyright and may be reclaimed if no order is placed.
4.2
Without our specific written consent, our contractual partner shall be obliged to keep documents and information received from us confidential towards third parties and shall not use them, or permit them to be used, for reproduction or reverse engineering purposes.
4.3
Where we are required to supply products based on drawings, models or samples provided by the purchaser, the purchaser warrants that the manufacture and delivery of such products will not infringe any third-party intellectual property rights.
The purchaser undertakes to indemnify us against claims for damages and other claims arising from such infringements.
4.4
Our contractual partner undertakes to treat all technical and commercial information, in particular intentions, experience, knowledge, manufacturing processes, designs and other details relating to operational procedures involved in the performance of the contract, which are disclosed or made available during the contractual relationship, as confidential.
Such information shall not be disclosed to third parties or used for commercial purposes unless otherwise agreed in writing between the parties, even if it has not been expressly designated as confidential.
4.5
The contractual partner shall ensure that its agents, subcontractors and employees who may gain knowledge of our trade and business secrets are subject to the same confidentiality obligations in writing, to the extent legally possible.
Upon our request, the contractual partner shall provide documentary evidence of such obligations.
If the contractual partner cannot provide such evidence, we shall be entitled to reject the relevant agents, employees or subcontractors.
4.6
The confidentiality obligation shall continue for a period of five years after termination of the cooperation. This shall also apply in the event of employees, agents or subcontractors leaving the contractual partner.
4.7
The contractual partner shall respect our patents, utility models, trademarks, copyrights and know-how designated as such in any form and shall only use them with our consent.
4.8
Even where consent to use is granted on the basis of a simple licence, we retain all rights to the intellectual property elements belonging to us.
In particular, the contractual partner shall not manufacture products based on our development results without our consent.
